The registration route decides everything after it
People starting a non-profit tend to treat registration as an administrative formality to be completed by whichever route is fastest. It is not. The route determines which regulator supervises you, what you have to file and how often, what your governing body must look like, how easily you can open and operate bank accounts, whether you can lawfully receive foreign funding, and — decisively — whether the institutional donors you are targeting will fund you at all.
Many international and institutional funders specify the form of registration they will accept. Choosing the route before you know who you intend to raise money from is the most common and most expensive error in this area.
The four routes

Section 42: the heaviest route, and usually the most fundable
A Section 42 company is licensed by SECP under the Companies Act 2017 as an association formed to promote commerce, art, science, religion, charity, sports or a similar useful object. Two features define it: income must be applied solely to that object, and distribution of dividends to members is prohibited.
The licensing process is more demanding than ordinary incorporation. Expect to provide a detailed objects clause, particulars and background of the promoters, a governance structure, financial projections and a statement of how the organisation will be funded. A licence, once granted, is followed by incorporation, and the company then carries full corporate compliance — annual returns, audited financial statements, prompt notification of changes.
The corresponding benefit is credibility. SECP oversight, a public register entry, audited accounts and a formal board are precisely what an institutional donor’s due diligence looks for. If you intend to raise money from international agencies, corporate CSR programmes or large domestic philanthropies, this is generally the route to choose.
Societies and trusts: lighter, but with real trade-offs
A society under the Societies Registration Act 1860 is a membership body with a governing body elected by its members. It is comparatively quick and inexpensive to register with the provincial registrar. The trade-off is internal: elections, quorum requirements and membership rolls become a recurring source of dispute in organisations that grow, and a contested election can paralyse an organisation for a year.
Trusts are created by a settlor transferring property to trustees to hold for a charitable purpose, governed by the trust deed and the applicable provincial trusts legislation. Trusts suit endowment-driven charity with a small, stable board and a clear purpose. Because the deed is the constitution, drafting matters enormously: a deed that fails to provide for trustee succession, removal, or amendment of the objects will cause problems long after the settlor has gone.
A welfare organisation registered with a provincial social welfare department is often the practical route for locally focused service delivery, and in some provinces is a prerequisite for particular grants or permissions.
Registration is not tax exemption
This is the single most common misunderstanding. Registering a non-profit with any of the four regulators does not by itself create tax exemption. Two further, separate applications matter:
- Approval as a non-profit organisation with FBR, which requires a constitution that complies with the statutory conditions, audited accounts, and evidence that income has been applied to the stated objects.
- Approval that makes donations deductible for donors under the Income Tax Ordinance 2001, which is what corporate donors will ask you for by name.
Both require periodic renewal. And approval does not remove your filing obligations: an approved non-profit must still file an income tax return, because exemption is claimed through the return, not instead of it. Withholding obligations on salaries, rent and contractor payments also continue in full.
Undisclosed related-party payments — a board member’s company being paid for services without the conflict being declared and minuted — are the fastest route to losing tax approval. Declare, minute, and price at arm’s length.
Foreign funding is a regulated channel
Pakistani non-profits can receive foreign contributions, but the channel is regulated. Depending on the organisation’s status and the source of funds, requirements may include registration or a signed memorandum of understanding with the Economic Affairs Division, approval of specific projects, use of designated bank accounts, and periodic reporting on how funds were utilised.
Accepting foreign funds outside the approved channel is the most common cause of an otherwise well-run organisation losing its registration — and because banks are independently obliged to apply customer due diligence, the problem often surfaces first as a frozen account rather than as a regulator’s letter.
The governance documents donors actually audit
Institutional funders increasingly review these before disbursement rather than after. Prepare them at registration, not when the first grant application is due:
- Constitution or memorandum and articles, with the objects and the non-distribution clause stated expressly.
- Board charter with defined terms, rotation, and quorum.
- Conflict of interest policy, with an actual register of declared interests.
- Financial controls: authorisation limits, dual signatories, segregation of duties.
- Procurement policy with thresholds and a competitive process above them.
- Safeguarding or child protection policy where the work involves vulnerable people.
- Whistleblowing and grievance procedure.
- Minute books, kept contemporaneously rather than reconstructed.
The recurring calendar
A Section 42 company files annual returns and audited accounts with SECP and renewal filings with FBR where it holds approval. Societies and welfare organisations file annual statements with their provincial registrar or social welfare department. All of them file an income tax return. Organisations receiving foreign funds report utilisation as required by the terms of their approval.
Build the calendar into the organisation at registration and assign a named person to it. Non-profits fail their compliance far more often through absence of ownership than through absence of intention.
