SECP Company Registration in Pakistan: The Complete 2026 Guide

A complete practical guide to registering a private limited or SMC-Private Limited company with SECP through eServices — name reservation, documents, incorporation, CUIN, and the post-incorporation obligations that follow.

Start with the structure, not the form

Most of the corporate problems that reach a lawyer are not disputes. They are structural decisions taken at registration by someone who was trying to get the certificate quickly and had nobody explaining what each option committed them to. A single-member company where a partnership was actually intended. An objects clause too narrow to support the licence the business needs eighteen months later. A fifty-fifty shareholding with no mechanism for breaking a deadlock.

Before you open the portal, settle four things: who the members are and in what proportion; who will be directors and who will be authorised to sign for the company; what the business will actually do, described precisely enough to cover the licences you will eventually need; and where the registered office will be, because that determines which company registration office has jurisdiction.

The objects clause is not boilerplate. Regulators — DRAP, the tourism authorities, BEOE, the provincial home departments — check whether your memorandum actually authorises the activity you are seeking a licence for. Amending it later is a members’ special resolution and a filing, not a phone call.

Choosing between the available forms

SECP registers companies under the Companies Act 2017. The three forms that cover almost all commercial registrations are:

An SMC can be converted to a private limited company later by inducting members, and a private limited company can reduce to a single member. Neither conversion is difficult, but both are filings with fees and time — so choose for the next two years, not just the next two weeks.

If the answer is that you do not need a company at all — that a sole proprietorship registered with FBR or a partnership registered with the Registrar of Firms is adequate — that is a legitimate answer. A company carries permanent compliance obligations that a proprietorship does not.

Step one: reserving the company name

Name reservation is filed through SECP eServices. You will need a registered user account, an e-mail address and mobile number that you can verify, and preferably three names in order of preference.

Names are refused for predictable reasons. A name that is identical or deceptively similar to an existing registered company will be rejected — search the SECP register first. Names implying government patronage, a connection with a national institution, or a regulated activity you are not licensed for (bank, insurance, university, investment adviser) require prior approval or are refused outright. Names containing words that require sanction under the rules need that sanction attached to the application.

Reserve, then act quickly. A name approval is valid for a limited period. If incorporation is not completed inside it, the reservation lapses and someone else can take the name.

Step two: the incorporation documents

Assemble the following before you begin the filing, not during it:

  • CNIC or NICOP for every subscriber and every proposed director. Overseas subscribers use NICOP or a passport; foreign nationals require passport copies and additional documentation.
  • Memorandum of association setting out the company name, registered office province, objects and liability and capital clauses.
  • Articles of association, either adopting the model articles or a bespoke set — bespoke articles are worth the cost where there is more than one member.
  • Registered office address with supporting evidence such as a recent utility bill or tenancy document. The address on the application and the address on the bill must match.
  • Authorised and paid-up capital figures, and the shareholding split between subscribers.
  • Verified mobile number and e-mail for each subscriber — SECP’s process relies on these for authentication.
  • Digital signature arrangements for the subscribers who will sign the filing.

Where the proposed business falls in a regulated sector — banking, insurance, non-banking finance, security services, education, media — a no-objection certificate or licence from the sector regulator is required before or alongside incorporation. Filing without it produces a rejection, not a query.

Step three: filing and incorporation

The incorporation application is submitted through eServices with the memorandum, articles and identification documents attached, and the prescribed fee paid through the available challan or online channel. SECP examines the filing and either raises objections for rectification or registers the company.

On registration you receive the certificate of incorporation bearing the Corporate Universal Identification Number (CUIN) — the company’s permanent identifier. Keep it accessible: you will need it for the bank account, for every subsequent SECP filing, and for prequalification and tender submissions.

SECP’s integrated registration process also initiates related registrations in the same flow, including NTN registration with FBR and, where applicable, registration with EOBI, the provincial social security institution and provincial labour department, together with a bank account opening request. Confirm which of these were actually completed rather than assuming the integrated process finished all of them.

What happens after incorporation

A certificate is the start of the obligations, not the end. In the first month:

  • Open the company bank account and deposit the subscribed capital.
  • Confirm NTN registration and complete the IRIS profile, including the business address and principal activity.
  • Register for sales tax if the business will supply taxable goods, and with the provincial revenue authority if it will supply taxable services.
  • Complete EOBI and provincial social security registration once you have employees.
  • Open the statutory registers, including the register of members and the record of ultimate beneficial ownership.
  • Hold the first board meeting and pass the resolutions the bank and regulators will ask for — authorised signatories, registered office confirmation, appointment of the first auditor where applicable.

Thereafter the recurring calendar includes the annual general meeting, the annual return on the prescribed form, financial statements where required by the company’s category, and prompt notification of any change in directors, registered office or share capital. Ultimate beneficial ownership information must be kept current, not simply filed once.

Late filing penalties escalate. They are calculated by reference to the period of default, so a filing that is two years late costs materially more than one that is two months late — and the company is shown as non-compliant on the public register in the meantime.

Foreign shareholders and overseas Pakistanis

Foreign shareholding is permitted in most sectors. Overseas Pakistanis can incorporate using NICOP or a passport, executing documents abroad and having them attested through the relevant Pakistani mission where required, or acting through an attorney under a properly executed and attested power of attorney.

Foreign directors and shareholders require additional documentation, and specific sectors carry security clearance or minimum investment conditions notified by the Board of Investment. Where a foreign company wants a presence in Pakistan without incorporating a subsidiary, registering a branch or liaison office with BOI is the alternative route — with the important difference that a liaison office cannot undertake commercial activity or generate revenue in Pakistan.

The five mistakes that cause most rejections

  1. Address mismatch. The registered office on the application does not match the utility bill or tenancy document attached.
  2. Unverified contact details. A subscriber’s mobile number or e-mail is not verified, stalling authentication.
  3. An objects clause copied from another company. It reads well and authorises nothing the business actually needs.
  4. A name too close to an existing registration. Searched informally, or not at all.
  5. Missing sector clearance. Filing in a regulated sector without the prior no-objection certificate.

All five are avoidable in an afternoon of preparation. All five are commonly discovered after the fee has been paid.
